These Terms of Service (“Terms”) constitute a legally binding agreement between you and TradeIt Co., Ltd. (“TradeIt,” “we,” “our,” or “us”). These Terms govern your access to and use of the TradeIt website, platform, and related services (collectively, the “Site” and the “Services”).
By accessing or using the Site or any of the Services, you acknowledge that you have read and understood these Terms and agree to be bound by them. Your use of the Services is also subject to our Privacy Policy, which is incorporated into these Terms by reference. You agree to comply with all applicable laws, regulations, and rules in connection with your use of the Services.
If you are accessing or using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. In such cases, “you” refers to both you as an individual and the applicable entity.
We may update or modify these Terms from time to time. Any changes will become effective upon posting the revised Terms on the Site or otherwise providing notice to you. Your continued access to or use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.
If you do not agree to these Terms, you must not access or use the Site or the Services.
2. Definitions
When used in these Terms, the following capitalized terms have the meanings set forth below.
1. “Account” means the user account registered to access and use the Site and Services. 2. “Billing Cycle” means the recurring period (monthly or annual) for which subscription fees are charged and Credits are allocated. 3. “Credits” means the prepaid, non-refundable, non-redeemable units allocated to you as part of a subscription plan, which are used to access and use usage-based features of the Services. Credits are consumed when you perform actions such as data searches, data enrichment, analytics, or AI-powered processing. 4. “Customer Data” means any data, information, content, or materials that you input, upload, submit, or otherwise provide through the Services, including business information, documents, files, and data related to trade, logistics, or counterparties. Customer Data does not include Usage Data or TradeIt Materials. 5. “Free Credits” means promotional or trial Credits that TradeIt may grant at its discretion, which may be subject to separate limitations or expiration rules. 6. “Paid Credits” means Credits included with a paid subscription plan. TradeIt does not sell Credits separately, and Paid Credits are provided exclusively through subscription plans or plan upgrades. 7. “Plan Upgrade” means a change from a lower-tier subscription plan to a higher-tier subscription plan, resulting in a prorated fee adjustment and an increase in allocated Credits. 8. “Platform” means TradeIt’s proprietary software platform, accessible through the Site, that provides trade-related data access, analytics, and AI-assisted features. 9. “Services” means the Platform and all related features, functionalities, tools, modules, integrations, and support services made available by TradeIt under these Terms. 10. “Site” means the TradeIt website and any associated domains or subdomains operated or controlled by TradeIt. 11. “TradeIt Materials” means the Site, the Platform, the Services, and all related software, systems, technology, algorithms, models, documentation, interfaces, content, and other materials developed, provided, or made available by TradeIt, including any updates, enhancements, or derivative works. TradeIt Materials do not include Customer Data. 12. “Usage Data” means aggregated or anonymized technical data, logs, metrics, and performance information generated by or in connection with your use of the Services. Usage Data does not include Customer Data or personally identifiable information. 13. “Personally Identifiable Information” or “PII” means information that identifies, relates to, describes, or can reasonably be linked to an identified or identifiable individual, as defined under applicable data protection laws. 14. “You” or “User” means the individual accessing or using the Services, or, if the Services are accessed or used on behalf of a legal entity, that entity and its authorized representatives.
3. License to Use the Services
Subject to these Terms and your compliance with them, TradeIt grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services solely for your internal business purposes, in accordance with your applicable subscription plan.
This license does not grant you any ownership or proprietary interest in the Services, the Platform, or any TradeIt Materials. All rights not expressly granted to you are reserved by TradeIt.
You may not copy, modify, distribute, sell, lease, sublicense, or otherwise exploit the Services or TradeIt Materials, except as expressly permitted by these Terms.
This license will automatically terminate without notice if you violate these Terms or if your account or subscription is suspended or terminated for any reason.
4. Billing & Payments
▶ Platform Subscriptions
You may access the TradeIt platform (“Platform”) under a free plan or a paid subscription plan, as described on the Site. Paid subscription plans are billed in advance on a monthly or annual basis and automatically renew at the end of each billing cycle unless you cancel prior to renewal through your account settings. Tradeit will notify you in advance by email or other reasonable means if relevant laws require you to make important payments, such as automatic renewal of the annual paid plan, change of charge, or end of free trial.
Subscription fees are charged at the beginning of each billing cycle. If a user cancels during an ongoing billing cycle, the subscription will remain active until the end of the current billing cycle, and the user will continue to have access to the Services until that time. Except as required by applicable law, subscription fees already paid are non-refundable. However, if the Company is unable to provide the Services due to reasons attributable to the Company to a material extent, the Company may provide a refund or credit adjustment to the extent permitted by applicable law.
▶ Credits and Usage-Based Services
Certain features of the Platform require the consumption of credits (“Credits”). These features may include, without limitation, B/L data searches, data enrichment, analytics, and AI-generated outputs. Credits are deducted upon execution of applicable features and are managed separately from subscription fees. Credits represent a limited, non-exclusive, non-transferable license to access the Services. Credits are not currency, deposits, prepaid balances, stored value, or financial instruments.
▶ Free Credits and Paid Credits
Free Credits We may grant Free Credits as part of promotions, trials, or specific plan conditions. Free Credits may be subject to separate usage limits or expiration rules and, unless explicitly stated otherwise, do not roll over to subsequent billing periods. Free credits are generally non-rollover. However, if a user converts from a free trial to a paid subscription, the Company may allow some or all remaining free trial credits to roll over together with the paid plan credits, in accordance with its policies. Paid Credits Credits included with a paid subscription plan or otherwise allocated as part of that plan are considered Paid Credits. TradeIt does not sell Credits separately, and Credits are provided exclusively through subscription plans. Paid Credits do not earn interest and may not be redeemed, refunded, exchanged, or converted into cash or any other form of value. Credit Replenishment Method TradeIt provides a single method for replenishing Credits: - Plan Upgrade If you upgrade to a higher subscription plan, you will receive additional Credits equal to the difference between your existing plan’s Credit allocation and the upgraded plan’s Credit allocation. TradeIt does not support the following Credit replenishment methods:- Individual Credit purchases (Credit top-ups) - Automatic Credit reloading (auto-reload) - Credit overage or negative balances
▶ Credit Rollover and Expiration Policy
TradeIt applies a cap-limited Credit rollover policy.
Monthly Subscription Plans Unused Credits included in a monthly subscription plan roll over to the next billing period subject to the following conditions: - The maximum rollover amount is limited to one (1) times your monthly Credit allocation. - Your total available Credits may not exceed the sum of your current monthly Credits and rolled-over Credits. - Any unused Credits exceeding this limit automatically expire at the end of the billing cycle. Annual Subscription Plans For annual subscription plans, unused monthly Credits may roll over throughout the annual subscription term, subject to a maximum accumulation equal to twelve (12) times the monthly Credit allocation. Credits exceeding this cap will expire.
Credit Consumption Order When using the Services, rolled-over Credits are consumed first, followed by Credits allocated for the current billing period.
Credit Availability Conditions Credits are available only while you maintain an active paid subscription. If your subscription is canceled or terminated, any remaining Credits expire at the end of the applicable billing period. Paid Credits are provided as part of the subscription plan and represent a limited right to use the Services. Upon subscription cancellation or plan downgrade, the availability of Credits may be restricted or expired in accordance with the new plan conditions. Where required by applicable law or deemed reasonable by the Company, unused Credits may be subject to adjustment or partial refund. If you downgrade to a lower-tier plan, Credits exceeding the rollover cap of the new plan may expire.
▶ Email Account Integration
Email account integration is a plan-based feature and is not subject to credit consumption. The number of email accounts that may be connected depends on the user’s subscription plan. If the user downgrades to a lower plan, any email accounts exceeding the allowed limit may be deactivated starting from the next billing cycle.
▶ Plan Changes
You may upgrade your subscription plan at any time, subject to the following conditions: - Upgrades take effect immediately upon payment. - The price difference between your current plan and the upgraded plan will be charged on a prorated basis. - Any unused Credits from your existing plan remain available. - Additional Credits equal to the difference in monthly Credit allocation between the plans are granted immediately. - The rollover cap is recalculated based on the upgraded plan’s monthly Credit allocation. - On your next renewal date, you will be charged the subscription fee for the upgraded plan. - If you downgrade your plan, Credits exceeding the rollover cap of the new plan may expire. Upon downgrading to a lower plan, email account integration limits will be recalculated based on the new plan. Any email accounts exceeding the allowed limit may be deactivated starting from the next billing cycle.
▶ Invoices and Records
We generate billing records reflecting subscription fees and Credit usage. Billing records are based on data provided by our designated payment processors and internal usage metering systems and are considered authoritative for billing purposes absent a clear error.
▶ No Refunds; Not a Financial Instrument
Credits are prepaid service access rights and are non-refundable except where required by law. Credits are not deposits, prepaid payment instruments, stored value, or financial instruments and cannot be exchanged for cash or other value.
▶ Usage Metering and Third-Party Dependencies
Usage metering may rely on third-party data providers, AI service providers, and infrastructure providers. While we make reasonable efforts to measure usage accurately, you acknowledge that our usage and billing records are authoritative.
▶ Taxes
All fees and Credit amounts are exclusive of taxes. You are responsible for any applicable taxes, duties, or governmental charges related to your use of the Services, excluding taxes imposed on our income.
▶ Notice on withdrawal of subscription
Users may have the right to request withdrawal of subscription (withdrawal of contract) within a certain period according to the relevant laws and regulations. However, if the user agrees to provide and use the service immediately after completing the subscription payment, and the use of the service is initiated, the withdrawal of subscription may be restricted to the extent permitted by the relevant laws and regulations. Users agree that the service will be provided immediately at the time of payment, and they recognize and agree that the right to withdraw subscription may be restricted accordingly.
5. Refunds and Termination
▶ Termination for Breach and Forfeiture of Credits
If you violate these Terms or engage in misuse of the Services, unlawful activities, payment fraud, system abuse, or any other conduct attributable to you, TradeIt may suspend or terminate your account or access to the Services without prior notice. In such cases, all remaining Credits held by you will be immediately forfeited, and no refunds or compensation will be provided.
▶ Termination by User (Subscription Cancellation)
If you cancel your paid subscription, the subscription will remain active until the end of the current billing period. Any remaining Credits will automatically expire at the end of the billing period. Fees and Credits already paid are non-refundable.
▶ Termination by TradeIt (Without User Fault)
If TradeIt terminates or suspends your account or access to the Services for reasons not attributable to you, including but not limited to security concerns, legal or regulatory requirements, or operational necessity:- Fees incurred up to the effective date of termination will be settled in the ordinary course. - Any remaining Credits will expire as of the effective date of termination. - Refunds will be issued only where expressly required by applicable law.
▶ No Refund Policy
Except where refunds are required by applicable law, the following items are non-refundable:- Paid subscription fees (monthly or annual) - Credits provided, whether used or unused - Unused Credits - Credits granted through plan upgrades Credits constitute prepaid access rights to the Services and do not represent cash value, deposits, or stored value.
▶ Effect of Plan Downgrades
If you downgrade to a lower-tier subscription plan:- Your Credits will be recalculated based on the rollover cap applicable to the downgraded plan. - Credits exceeding the rollover cap of the new plan may expire immediately or at the end of the applicable billing period. - No refunds or compensation will be provided for Credits that expire as a result of a downgrade.
▶ Effect of Termination
Upon termination or expiration of your account or these Terms:- Your right to access and use the Platform and Services will immediately cease. - Any remaining Credits will expire in accordance with these Terms. - All email account integration privileges will end, and and connected email accounts will be deactivated. - Provisions that by their nature should survive termination will remain in effect, including but not limited to: - intellectual property rights - disclaimers - limitations of liability - indemnification obligations - payment obligations accrued prior to termination
6. Service Dependencies and Availability
TradeIt provides the Services using a combination of proprietary technology and third-party services and providers. These may include, without limitation, external data providers, infrastructure providers, cloud hosting services, analytics services, and third-party artificial intelligence or machine learning services.
Because certain components of the Services rely on third-party providers that are outside of TradeIt’s control, TradeIt does not guarantee uninterrupted availability, accuracy, performance, reliability, or security of the Services. You acknowledge and agree that interruptions, delays, errors, data unavailability, or service degradation may occur from time to time.
TradeIt shall not be responsible for any failure, delay, interruption, or error in the Services caused by third-party providers, data sources, network or system failures, maintenance activities, or events beyond TradeIt’s reasonable control, including force majeure events.
The Services are provided on an “as is” and “as available” basis, subject to the limitations set forth in these Terms.
7. AI Use Disclaimer
The Services may include features that use artificial intelligence or machine learning technologies to generate analyses, recommendations, summaries, messages, or other outputs (“AI Output”).
AI Output is generated based on automated processes and may contain errors, inaccuracies, omissions, or outdated information. AI Output is provided for informational and reference purposes only and should not be relied upon as a substitute for professional judgment or independent verification.
You are solely responsible for reviewing, validating, and determining the appropriateness of any AI Output before using it in your business operations, including but not limited to sales, marketing, negotiations, contracts, pricing, or strategic decision-making.
You acknowledge and agree that AI Output may not be accurate, complete, reliable, or suitable for any particular purpose and that TradeIt does not guarantee the correctness, uniqueness, or legality of any AI Output. AI Output may be similar or identical to outputs generated for other users.
TradeIt shall not be responsible for any decisions, actions, losses, or damages arising from your use of AI Output. You agree not to rely on AI Output for high-risk or critical functions, including legal, financial, regulatory, or safety-related matters, without appropriate human review and safeguards.
8. Customer Data and Privacy
▶ No Sensitive Personal Data
You agree not to upload, submit, or otherwise provide any sensitive personal data through the Services, including but not limited to government-issued identification numbers, financial account information, biometric data, or protected health information. The Services are not designed to process or store such data, and TradeIt disclaims all responsibility for any sensitive data you choose to submit in violation of this provision.
▶ Use of Infrastructure and Third-Party Services
The Services are provided using a combination of TradeIt’s proprietary technology and third-party service providers, including cloud infrastructure providers, data providers, analytics services, and artificial intelligence or machine learning services.
By using the Services, you acknowledge and consent that your Customer Data may be processed, transmitted, and stored by such third-party providers solely for the purpose of operating, maintaining, and improving the Services, subject to applicable data protection laws and contractual safeguards.
▶ Rights in Customer Data
As between you and TradeIt, you retain ownership of your Customer Data. You grant TradeIt a limited, worldwide, non-exclusive, royalty-free license to access, use, process, and analyze Customer Data solely for the purposes of: - providing, operating, and maintaining the Services; - improving and optimizing the Services; - generating aggregated or anonymized analytics and insights; and - complying with applicable legal obligations.
TradeIt does not use identifiable Customer Data to train general-purpose artificial intelligence models unless expressly disclosed and permitted by applicable law.
▶ Use of Personally Identifiable Information (PII)
TradeIt processes PII in accordance with its Privacy Policy and applicable data protection laws. TradeIt does not sell PII or share it with third parties for advertising purposes.
PII may be processed solely to provide the Services, support users, ensure security, prevent fraud, and comply with legal obligations. Aggregated or anonymized data that does not identify individuals may be used for lawful business purposes.
▶ Data Retention and Deletion
TradeIt retains Customer Data and PII only for as long as reasonably necessary to provide the Services, comply with legal obligations, resolve disputes, and enforce these Terms.
Customer Data may be retained in anonymized or aggregated form for analytics and service improvement purposes. Deleted data may persist in backup systems for a limited period before permanent removal.
▶ Customer Responsibility
You are responsible for ensuring that your use of the Services and submission of Customer Data complies with applicable laws, including data protection, privacy, and confidentiality obligations. You represent that you have all necessary rights and permissions to provide Customer Data to TradeIt and to permit its use as described in these Terms.
9. Promotional Credits and Offers
From time to time, TradeIt may, at its sole discretion, offer promotional Credits or other promotional benefits, including free or limited access to certain features or Services.
Promotional Credits and offers are provided on a temporary basis, may be subject to specific conditions, and may be modified, suspended, or discontinued at any time without prior notice.
Unless expressly stated otherwise, promotional Credits and offers:- are non-transferable, non-refundable, and non-redeemable for cash or any other value; - may be limited to specific Services or features; - expire as specified in the applicable promotion, or if no expiration is stated, at the end of the applicable billing cycle; and - may not be combined with other promotions or discounts.
TradeIt reserves the right to revoke, cancel, or adjust any promotional Credits or offers if TradeIt reasonably determines that they were issued in error, obtained fraudulently, or used in violation of these Terms.
10. Affiliate Program Terms
By participating in TradeIt’s affiliate or referral program (the “Affiliate Program”), you agree to comply with the following terms in addition to TradeIt’s Terms of Service.
▶ Eligibility and Participation
Participation in the Affiliate Program is subject to approval by TradeIt. TradeIt reserves the right to approve, reject, suspend, or terminate any affiliate account at its sole discretion.
▶ No Self-Referrals
Affiliates may not refer themselves or create referrals using their own accounts, entities, or payment methods. Self-referrals will be deemed invalid and may result in forfeiture of commissions and termination from the Affiliate Program.
▶ Brand Bidding and Search Advertising Restrictions
Affiliates may not bid on TradeIt’s brand name, trademarks, or any misspellings or variations thereof in paid search advertisements (including Google Ads, Bing Ads, or similar platforms).
Affiliates are also prohibited from generating affiliate traffic primarily through search engine advertising unless expressly approved in writing by TradeIt.
▶ Prohibited Promotional Practices
Affiliates may not engage in spam, misleading, deceptive, or unethical promotional practices, including but not limited to:- false or exaggerated claims about the Services; - fake discounts, guarantees, or official endorsements; - impersonation of TradeIt or unauthorized use of TradeIt branding; - deceptive landing pages or forced redirects.
▶ Commission Eligibility and Payout Conditions
Affiliate rewards are granted only for referrals that result in a valid, completed paid subscription, as determined by TradeIt.
Commissions will not be paid for:- free trials or unpaid accounts; - subscriptions that are refunded, canceled, or disputed; - referrals that violate these Affiliate Program Terms.
TradeIt reserves the right to delay, adjust, or withhold payouts to verify referral validity and compliance.
▶ Fraud, Abuse, and Withholding
TradeIt may withhold, reverse, or cancel affiliate commissions if TradeIt reasonably determines that referrals were generated through fraud, abuse, manipulation, or violation of these Terms.
▶ Termination and Modification
TradeIt may suspend or terminate an affiliate’s participation in the Affiliate Program at any time, with or without notice, for any violation of these Terms or for conduct that TradeIt determines to be harmful to its business, reputation, or customers.
TradeIt may modify or discontinue the Affiliate Program, including commission structures, at any time.
11. Disclaimers of Warranties
The services, including the platform, all data, analytics, AI output, and related features, are provided on an "as is" and "as available" basis.
To the fullest extent permitted by applicable law, TradeIt and its licensors, providers, and partners disclaim all warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
TradeIt does not warrant or guarantee that the services will be uninterrupted, timely, secure, error-free, or free from harmful code, or that any data, analysis, or AI output will be accurate, complete, reliable, or suitable for your business or decision-making purposes.
You acknowledge that your use of the services, including any reliance on data or AI output, is at your sole risk.
12. Indemnification
You agree to indemnify, defend, and hold harmless TradeIt, its affiliates, officers, directors, employees, contractors, and licensors from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:- your access to or use of the Services in violation of these Terms or applicable laws or regulations; - your misuse, abuse, or improper reliance on the Services, including any data, analytics, or AI Output; - any Customer Data or other content you submit, upload, or provide through the Services, including claims that such data infringes, misappropriates, or violates the rights of a third party; - your violation of any terms or policies of third-party service providers, data providers, or artificial intelligence providers used in connection with the Services; or - your breach of any representation, warranty, or obligation under these Terms.
TradeIt reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with TradeIt in defending such claims.
13. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall tradeit, its affiliates, licensors, service providers, officers, directors, or employees be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation lost profits, lost revenue, lost data, business interruption, or loss of goodwill, arising out of or relating to the services or these terms, even if advised of the possibility of such damages.
Without limiting the foregoing, tradeit shall not be liable for:- any interruption, downtime, delay, or failure of the services caused by third-party providers, data sources, ai services, or infrastructure providers; - any errors, inaccuracies, or reliance on data, analytics, or ai output; - any act or omission by you, your users, or any person accessing the services through your account; or - any loss or corruption of customer data, except to the extent caused by tradeit’s gross negligence or willful misconduct.
To the extent permitted by law, tradeit’s total aggregate liability for all claims arising out of or relating to the services or these terms, whether in contract, tort (including negligence), strict liability, or any other legal theory, shall not exceed the total amount of fees paid by you to tradeit for the services during the twelve (12) months immediately preceding the event giving rise to the claim.
nothing in these terms limits liability to the extent such liability cannot be limited under applicable law.
14. Term and Termination
These Terms commence on the earlier of the date you first accept them or the date you first access or use the Services, and continue until terminated in accordance with these Terms.
You may terminate your account and discontinue use of the Services at any time through your account settings or other means provided by TradeIt.
TradeIt may suspend or terminate your account or access to the Services at any time in accordance with these Terms, including for convenience with reasonable notice, or immediately in the event of a violation of these Terms, applicable law, or misuse of the Services. TradeIt may also modify, suspend, or discontinue the Services, in whole or in part, at any time. Upon termination or expiration of these Terms for any reason:- your right to access and use the Services will immediately cease; - any outstanding fees or charges incurred prior to termination remain payable; and - the treatment of unused Credits will be governed by the “Refunds and Termination” section of these Terms.
Sections that by their nature should survive termination shall survive, including but not limited to ownership, disclaimers, limitation of liability, indemnification, and governing law.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, excluding conflict of law principles. However, mandatory consumer protection laws of the user's country of residence may apply and take precedence where applicable.
If the user is a business entity, the Seoul Central District Court shall haveexclusive jurisdiction as the court of first instance for disputes arising out of or relating to these Terms or the Services.
The failure of tradeit to enforce any right or provision of these terms shall not constitute a waiver of such right or provision.
If any provision of these terms is held to be invalid or unenforceable, such provision shall be severed, and the remaining provisions shall remain in full force and effect.
16. Survival
The provisions of these terms that by their nature should survive termination or expiration of your account or these terms shall survive, including without limitation provisions relating to ownership, customer data and privacy, disclaimers of warranties, limitation of liability, indemnification, governing law and dispute resolution, and any accrued payment obligations.
17. Publicity Rights
If you are a business entity, you grant tradeit a non-exclusive, worldwide, royalty-free license to use your name, logo, and trademarks (collectively, “marks”) solely for the purpose of identifying you as a customer of the services. Such use may include, without limitation, tradeit’s website, customer lists, sales and marketing materials, pitch decks, and investor presentations.
You may revoke this license at any time by providing written notice to tradeit. Upon receipt of such notice, tradeit will use commercially reasonable efforts to cease using your marks in new materials. However, tradeit is not required to recall, modify, or destroy materials that were created or distributed prior to the revocation.
You represent and warrant that you have all necessary rights and authority to grant this license, and that tradeit’s use of your marks as permitted under these terms does not infringe or misappropriate the rights of any third party.
18. Copyright Infringement Notice
TradeIt respects intellectual property rights and expects users of the services to do the same. If you believe that any content made available through the services infringes your copyright or other intellectual property rights, you may submit a written notice requesting removal of the allegedly infringing material.
Your notice should include the following information:- a description of the copyrighted work or intellectual property right that you claim has been infringed; - a description of the material that is claimed to be infringing and information reasonably sufficient to enable us to locate the material; - your name, address, telephone number, and email address; - a statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or applicable law; and - a statement that the information in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.
Upon receipt of a valid notice, tradeit may remove or disable access to the allegedly infringing material in accordance with applicable law and its internal policies. If you believe that material you submitted was removed or disabled as a result of mistake or misidentification, you may submit a counter-notice containing a reasonable explanation. 19. Repeat Infringer Policy
TradeIt has adopted a policy of suspending or terminating, in appropriate circumstances and at its sole discretion, the accounts of users who are determined to have repeatedly infringed the intellectual property rights of others.
TradeIt may also restrict access to the services, suspend, or terminate any account that infringes the intellectual property rights of others, regardless of whether such user is deemed a repeat infringer.
The determination of whether a user is a repeat infringer shall be made by tradeit in accordance with applicable law and its internal policies.
20. Eligibility
You may use the services only if you are at least eighteen (18) years old and have the legal capacity to enter into a binding contract under applicable law.
The services are intended solely for business and professional use and are not intended for individuals under the age of eighteen (18). TradeIt does not knowingly collect personal information from minors.
By using the services, you represent and warrant that you meet the eligibility requirements set forth in these terms.
If you use the services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these terms. In such case, references to “you” in these terms shall refer to such entity.
21. Miscellaneous
▶ Entire Agreement
These terms constitute the entire agreement between you and TradeIt regarding the services and supersede all prior or contemporaneous agreements, communications, or understandings, whether written or oral, relating to the services.
▶ Assignment
You may not assign or transfer these terms, in whole or in part, without TradeIt’s prior written consent. tradeit may assign or transfer these terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets. any attempted assignment in violation of this section shall be null and void.
▶ Export Controls and Compliance
You may not use the services in violation of applicable export control, trade, or economic sanctions laws or regulations. You represent and warrant that your use of the services complies with all applicable laws and regulations.
▶ Beta or Experimental Features
Tradeit may make certain features available that are identified as beta, preview, or experimental. such features may be incomplete, subject to change, or discontinued at any time without notice. Beta features are provided “as is” and without warranties of any kind.
▶ Waiver
The failure of tradeit to enforce any provision of these terms shall not constitute a waiver of that provision or any other provision.
▶ Severability
If any provision of these terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
